1.  Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the website located at www.welldoc.com and all associated subdomains, pages, content, products, and services made available through that website (collectively, the “Website”), operated by Welldoc, Inc. (“Welldoc,” “we,” “our,” or “us”), a Delaware corporation headquartered at 10221 Wincopin Circle, Suite 150, Columbia, Maryland 21044.

By accessing or using the Website in any manner — including browsing, submitting a form, creating an account, or downloading materials — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Website on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and “you” refers to both you individually and that organization.

If you do not agree to these Terms, you must not access or use the Website.

2. Changes to These Terms

We reserve the right to modify these Terms at any time in our sole discretion. When we make changes, we will update the Effective Date at the top of this page. For material changes, we may also provide additional notice, such as a banner notification on the Website or an email to registered users.

3. Description of the Website and Services

The Website is a corporate and marketing website operated by Welldoc, Inc., a digital health company. The Website provides general information about Welldoc’s company, team, products, research, and services, including its FDA-cleared prescription digital therapeutics and software products for chronic disease management.

Welldoc Platform. The Welldoc Platform is a digital health and wellness platform designed to support various chronic health conditions through personalized digital experiences, educational content, coaching and engagement tools, and reporting capabilities aligned with evidence‑based best practices.  These Terms govern your use of the Website; separate terms and conditions and a Notice of Privacy Practices govern your use of the Welldoc Platform and any associated patient-facing applications or portals. The Website is not intended to provide medical advice, diagnosis, or treatment. Information on the Website is for general informational purposes only and should not be relied upon as a substitute for professional medical advice. 4. Eligibility

By using the Website, you represent and warrant that:

  • You are at least 18 years of age, or the age of legal majority in your jurisdiction if higher;
  • You have the legal capacity and authority to enter into these Terms;
  • You are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country;
  • You are not listed on any U.S. government list of prohibited or restricted parties; and
  • Your use of the Website does not violate any applicable law or regulation.


The Website is intended for users in the United States. We make no representation that the Website or its content is appropriate or available in other locations. If you access the Website from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

The Website is not directed to children under the age of 13. We do not knowingly collect personal information from children under 13 through the Website. If you believe a child under 13 has submitted personal information through the Website, please contact us at privacy@welldocinc.com.

5. Accounts and Registration

Certain features or sections of the Website may require you to create an account or register. If you register, you agree to:

We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms or any applicable law. We also reserve the right to refuse registration to any person or entity in our sole discretion.

You may not share your account credentials with any third party, create accounts using automated means, or create an account on behalf of another person without their explicit consent.

6. Privacy Policy

Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by this reference. Our Privacy Policy describes how we collect, use, share, and protect information about you when you use the Website, and explains your rights regarding your personal information. HIPAA Notice. If you are a user of Welldoc’s prescription digital therapeutic products, information you provide in connection with those products may constitute protected health information (“PHI”) governed by the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”). The use and disclosure of PHI is governed by our Welldoc Platform Terms of Use and the Privacy Policy.

7. Intellectual Property Rights
7.1  Ownership

The Website and all of its content, features, and functionality — including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof — are owned by Welldoc, Inc., its licensors, or other providers, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Welldoc, BlueStar, and all other Welldoc product names, logos, and service marks appearing on the Website are registered or unregistered trademarks of Welldoc, Inc. or its affiliates. You may not use any Welldoc trademark or trade name without the prior written consent of Welldoc. All other trademarks, service marks, and logos appearing on the Website are the property of their respective owners.

7.2 Limited License

Subject to your compliance with these Terms, Welldoc grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website solely for your personal, non-commercial informational purposes. This license does not include any right to:

  • Modify, copy, reproduce, republish, distribute, transmit, display, perform, or create derivative works of any Website content;
  • Use the Website or its content for any commercial purpose or for any public display, commercial or non-commercial;
  • Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of any software component of the Website;
  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notice;
  • Use data mining, robots, scraping, or similar data gathering or extraction tools on the Website; or

If you submit ideas, suggestions, comments, feedback, or other content about the Website or our products or services (“Feedback”), you grant Welldoc a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Feedback in any medium without compensation or attribution to you. You represent that you have the right to grant this license and that the Feedback does not infringe any third-party rights.

8. Acceptable Use

You agree to use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website:

  • In any way that violates any applicable federal, state, local, or international law or regulation;
  • To transmit or procure the sending of any unsolicited or unauthorized advertising or promotional material, including spam;
  • To impersonate or attempt to impersonate Welldoc, a Welldoc employee, another user, or any other person or entity;
  • To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm Welldoc or users of the Website or expose them to liability;
  • To transmit any material that is defamatory, obscene, offensive, hateful, inflammatory, or otherwise objectionable;
  • To upload, post, or transmit any viruses, Trojan horses, worms, logic bombs, ransomware, spyware, or other malicious or technologically harmful code;
  • To attempt to gain unauthorized access to any part of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website;
  • To attack the Website via a denial-of-service attack, distributed denial-of-service attack, or any other means;
  • To harvest or collect email addresses or other personal information from the Website without authorization;

Violation of this Section may result in immediate termination of your access to the Website and may be reported to law enforcement authorities. We reserve the right to cooperate fully with law enforcement authorities or court orders requesting or directing us to disclose the identity or location of anyone engaging in activities that violate applicable laws.

9. User-Submitted Content

The Website may allow you to submit, post, or transmit text, data, information, or other content through contact forms, comment features, surveys, or other interactive features (“User Content”). You retain ownership of any intellectual property rights you hold in your User Content.

By submitting User Content, you grant Welldoc a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating and improving the Website and our products and services.

You represent and warrant that:

  • You own or have the necessary rights to submit your User Content and to grant the license above;
  • Your User Content does not violate any applicable law or regulation;
  • Your User Content does not infringe the intellectual property, privacy, publicity, or other rights of any third party;
  • Your User Content is not false, misleading, defamatory, obscene, or otherwise objectionable; and
  • Your User Content does not contain any viruses, malware, or other harmful code.

Welldoc has no obligation to monitor User Content, but reserves the right to review, edit, or remove any User Content at any time for any reason, including User Content that violates these Terms or is otherwise objectionable. Welldoc is not responsible for any User Content submitted by you or any other user.

10. Third-Party Links and Content

The Website may contain links to third-party websites, services, or resources (“Third-Party Links”) that are not owned or controlled by Welldoc. We provide these links for your convenience only and do not endorse, control, or assume responsibility for the content, privacy policies, practices, or accuracy of any third-party websites.

When you click on a Third-Party Link, you will leave the Website and be subject to the terms and privacy policies of that third-party website. We strongly encourage you to review the terms of use and privacy policy of every third-party website you visit. Your interactions with third-party websites are solely between you and those third parties. Welldoc is not responsible or liable for any loss or damage arising from your use of any third-party website or your dealings with any third party.

The Website may also display content from third parties, including embedded videos, social media widgets, and maps. Your interaction with such embedded content may result in data being collected by the third-party platform, as described in our Privacy Policy.

11. No Medical Advice; No Patient Relationship

The Website provides general health and wellness information for informational purposes only. Nothing on the Website constitutes medical advice, the practice of medicine, the provision of healthcare services, the establishment of a physician-patient relationship, or a substitute for professional medical judgment.

You should not rely on the Website for medical decisions. Always consult a qualified and licensed healthcare provider before making any healthcare decision or taking or refraining from any action based on the content of the Website. Never disregard or delay seeking professional medical advice because of something you read on this Website.

In case of a medical emergency, call 911 or your local emergency services immediately. Welldoc does not provide emergency services through the Website.

If you are prescribed BlueStar® or another Welldoc product by a licensed healthcare provider, the use of that product is governed by separate user agreements and the applicable product labeling and Instructions for Use, not by these Terms.

12. Electronic Communications

When you use the Website or send us emails or other electronic communications, you are communicating with us electronically. By using the Website, you consent to receive communications from us electronically. We may communicate with you by email, text message (SMS), push notification, or by posting notices on the Website.

You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.

If you submit your contact information through the Website, you may receive marketing communications from us about our products, services, research, and events. You may opt out of marketing communications at any time by following the unsubscribe instructions in any such communication or by contacting us at privacy@welldocinc.com. Please note that even after opting out of marketing communications, you may continue to receive transactional or administrative communications related to any account you hold with us or services you have requested.

You acknowledge that communications transmitted over the internet, including by email and SMS, carry inherent security risks, including the risk of unauthorized interception. Welldoc is not responsible for any unauthorized access to communications transmitted over networks it does not control.

13. Disclaimers of Warranties

YOUR USE OF THE WEBSITE IS AT YOUR SOLE RISK. THE WEBSITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WELLDOC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  • ANY WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • ANY WARRANTIES AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, CURRENTNESS, OR TIMELINESS OF ANY INFORMATION ON THE WEBSITE; AND
  • ANY WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE WEBSITE.

No advice or information, whether oral or written, obtained by you from Welldoc or through or from the Website shall create any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the foregoing exclusions apply to the greatest extent permitted by applicable law.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WELLDOC, INC., ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • PERSONAL INJURY OR PROPERTY DAMAGE ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE WEBSITE;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WELLDOC’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO WELLDOC IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM (IF ANY); OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the foregoing limitations apply to the greatest extent permitted by applicable law. Nothing in these Terms shall limit or exclude Welldoc’s liability for fraud, gross negligence, or willful misconduct, or for death or personal injury caused by Welldoc’s negligence, where such limitation or exclusion is prohibited by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Welldoc, Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Website or any content you access through the Website;
  • Your User Content;
  • Your violation of any applicable law or regulation; or
  • Your infringement or misappropriation of any intellectual property or other rights of any third party.

We reserve the right, at our expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claims. You agree not to settle any such claim without our prior written consent.

16. Copyright Infringement — DMCA Policy

Welldoc respects the intellectual property rights of others and expects users of the Website to do the same. If you believe that any content on the Website infringes your copyright, you may submit a notice of claimed infringement to our designated Copyright Agent pursuant to the Digital Millennium Copyright Act (“DMCA”). Your notice must include:

17. Governing Law and Dispute Resolution
17.1  Governing Law

These Terms and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

17.2  Informal Resolution

Before filing a formal legal claim, you agree to contact us at legal@welldocinc.com and attempt to resolve any dispute informally. We will attempt to resolve the dispute through informal negotiations within thirty (30) days of your notice. If the dispute cannot be resolved informally, either party may proceed as set forth below.

17.3  Jurisdiction and Venue

Any legal suit, action, or proceeding arising out of or related to these Terms or the Website that is not resolved by informal negotiation shall be instituted exclusively in the federal courts of the United States located in the District of Maryland, or the state courts of the State of Maryland, County of Howard. You irrevocably submit to the exclusive jurisdiction of such courts for all such claims and waive any objection to the laying of venue in such

17.4  Waiver of Class Action

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE SHALL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MULTIPLE-PLAINTIFF, OR SIMILAR PROCEEDING. YOU EXPRESSLY WAIVE ANY ABILITY TO MAINTAIN ANY CLASS ACTION IN ANY FORUM.

17.5  Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

18. Termination

We reserve the right to terminate or suspend your access to the Website, with or without notice, at any time and for any reason, including if we believe you have violated these Terms, any applicable law, or any rights of a third party.

Upon termination, your right to use the Website will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation: intellectual property provisions, disclaimers of warranty, limitations of liability, indemnification obligations, and governing law provisions.

19. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any other agreements or policies incorporated by reference herein, constitute the entire agreement between you and Welldoc with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties relating to the Website.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

Waiver. No failure or delay by Welldoc in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No waiver shall be effective unless made in writing and signed by an authorized representative of Welldoc.

Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without Welldoc’s prior written consent. Welldoc may assign these Terms freely, including in connection with a merger, acquisition, or sale of substantially all of its assets.

No Third-Party Beneficiaries. These Terms are for the sole benefit of you and Welldoc and do not create any third-party beneficiary rights.

Force Majeure. Welldoc shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, pandemics, cyberattacks, war, terrorism, governmental action, or failure of internet or telecommunications infrastructure.

Export Compliance. You agree to comply with all applicable export and re-export control laws and regulations in connection with your use of the Website.

Headings. Section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.
